Impact Challenge 2025 Terms and Conditions

By registering for and/or submitting an entry ("Submission") to the Impact Challenge 2025 ("Challenge") hosted by Cognite AS ("Cognite"), you ("Participant") agree to these Terms and Conditions. By making a Submission, you represent and warrant that you are either submitting on your own behalf as an individual Participant, or, if submitting on behalf of a team, group of individuals, or a legal entity (collectively, "Represented Party"), you are an authorized representative of the Represented Party and have the full legal authority to agree to these Terms and Conditions on behalf of, and to bind, the Represented Party.

1. Eligibility

Participation is subject to eligibility requirements as stated on the official Challenge Website.

2. Acceptance of Terms

Your participation in the Challenge constitutes your full and unconditional agreement to and acceptance of these Terms and Conditions.

3. Intellectual Property Rights (IPR)

  • Participant's Warranties: You warrant that your Submission is your original work, that you own or have all necessary rights to share the Submission and grant the license herein, and that your Submission does not infringe any third-party IP or other rights.
  • License to Cognite: You grant Cognite and its affiliates a non-exclusive, royalty-free, perpetual, irrevocable, worldwide, sublicensable license to review, evaluate, test, use, reproduce, modify, adapt, and develop concepts, features, products, or services based on or inspired by your Submission, including for improving Cognite’s offerings, and to publicize the Challenge (which may include showcasing Submissions).
  • Participant's Ownership: You retain ownership of your underlying IP rights in your Submission, subject to the license granted to Cognite.
  • Non-Confidentiality: Submissions are made on a non-confidential basis. Cognite has no obligation to keep any Submission confidential. Cognite may be independently developing similar concepts; your Submission does not preclude Cognite from pursuing such developments. Your Submission will also be shared anonymously for community voting purposes.

4. Code of Conduct

You agree to abide by the code of conduct specified on the Challenge website (if any) and to behave professionally and respectfully. Failure to do so may result in disqualification.

5. Disclaimers

The Challenge and any materials provided by Cognite are provided "as is" without warranty of any kind. Cognite is not responsible for lost, late, or misdirected Submissions, or technical failures. Cognite is not obligated to use any Submission. To the maximum extent permitted by law, Cognite shall not be liable for any damages arising out of or relating to the Challenge.

6. Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of Norway. Any disputes will be subject to the exclusive jurisdiction of the courts of Norway.

7. General

Challenge details such as the Challenge period, submission guidelines, judging criteria, and prize descriptions are provided on the official Challenge website and are incorporated herein by reference. Cognite reserves the right to modify or cancel the Challenge or these Terms at its discretion, with material changes communicated to participants.
